1. Parties and definitions
These Terms of Service ("Terms") form a binding agreement between Future Build Cov Ltd ("we", "us", "our"), a company registered in England and Wales with its registered office in Coventry, United Kingdom, and you ("you", "your") as a user or subscriber of the Top Level App service ("Service").
In these Terms, "Subscription" means a paid monthly plan; "Credit" means one entitlement to run one AI Visibility Report; "Report" means the output of an AI Visibility audit on a URL you submit; "Affiliate Program" means the referral program described at /affiliates and governed by separate Affiliate Terms.
2. Your account
To use the Service you create an account using a valid email address. We use passwordless magic-link authentication — no password is required or stored. You are responsible for keeping access to your email account secure. You must be at least 18 years old and have authority to enter into a binding contract on behalf of yourself or the business you represent.
You agree to provide accurate information and to keep it up to date. You may not create an account under a false identity or on behalf of someone else without their permission.
3. Subscription, billing, and credits
3.1 Plans
We offer four monthly subscription tiers: Basic (£49 / month, 1 report credit), Starter (£99 / month, 5 credits), Growth (£199 / month, 15 credits), Agency (£399 / month, 50 credits). All prices are in pounds sterling (GBP) and shown inclusive of any applicable UK VAT.
3.2 Billing cycle
Subscriptions bill monthly on the date you first subscribed. Payment is processed by Stripe Payments Europe Ltd; you authorise us to take recurring monthly payment via the payment method you provide. We issue an invoice for each successful payment.
3.3 Credits
Each successful monthly payment grants the credit allowance for your plan. Credits accumulate while your subscription is active — unused credits roll over into the next month. Each Report consumes one Credit. If a Report fails due to our error (e.g. our pipeline crashes), we automatically restore the Credit.
3.4 Plan changes
You can upgrade or downgrade your plan at any time through the Stripe Customer Portal (accessible from the "Manage subscription" button in your dashboard). Upgrades take effect immediately on a pro-rata basis; downgrades take effect at the start of the next billing period.
3.5 Failed payments
If a payment fails (e.g. card expired, insufficient funds), Stripe will retry. After repeated failure we may suspend your account and stop granting credits until the payment succeeds. Existing credits remain on the account.
4. Cancellation, refunds, and consumer rights
4.1 Cancelling
You can cancel your subscription at any time from the Stripe Customer Portal accessible inside your dashboard. Cancellation takes effect at the end of the current paid month — you keep access until then. Already-granted credits remain on your account and can be used until your access expires.
4.2 Refunds
Where you have a statutory right to a refund under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, we will honour it. Where no such statutory right applies, refunds for partial months are at our discretion — please contact support@toplevelapp.com and explain the situation. We aim to be reasonable.
4.3 14-day cancellation right (B2C only)
If you are a consumer (i.e. acting outside your trade or profession) you have a 14-day cancellation right starting on the day your subscription begins. To exercise it, contact us at support@toplevelapp.com. You acknowledge that any Report you have already generated during that 14-day period is a "digital content" supply that you have asked us to begin immediately, and the cost of that Report (pro-rated against your monthly fee) may be deducted from any refund.
5. Acceptable use
You agree not to:
- Use the Service to audit URLs that you do not own or do not have permission to audit on behalf of someone who does.
- Scrape, reverse engineer, or attempt to extract the underlying scoring logic, prompts, or models powering the Service.
- Resell raw Service output as if it were your own product — agency white-labelling of finished PDF reports for client delivery is fine, raw API resale is not.
- Use the Service to facilitate spam, fraud, malware distribution, or any unlawful activity.
- Attempt to deplete other users' credits, exhaust our rate limits, or otherwise interfere with the Service's operation.
- Submit URLs that contain illegal content under UK law.
- Create multiple accounts to evade plan limits, payment, or to manipulate the Affiliate Program.
Breach of this section may result in immediate suspension or termination of your account without refund.
6. Reports and accuracy
Reports are generated by a combination of automated technical analysis of the target URL, real-time queries to AI search engines (such as ChatGPT, Claude, and Gemini), and lookups against Google search results. We work hard to make the output accurate and actionable, but:
- AI search results change continuously. A Report is a snapshot of a moment in time, not a permanent statement of fact.
- We do not guarantee that following the action plan in a Report will produce a specific ranking improvement, revenue impact, or business outcome.
- We do not guarantee that a competitor identified in a Report is correctly identified — competitor inference is heuristic.
- We may revise our methodology and scoring without notice. Reports older than 90 days may not reflect the current methodology.
7. Intellectual property
The Top Level App brand, logo, copy, design, codebase, scoring methodology, and the structure of our Reports are owned by Future Build Cov Ltd and protected by UK and international copyright and trademark law. You are granted a non-exclusive, non-transferable, revocable licence to use Reports we generate for you for your own business use (or your client's business use, if you are on the Agency plan).
You retain all rights to the URLs you submit and the websites they refer to.
8. Service availability
We aim for high availability but do not commit to a specific uptime percentage in these Terms (we are not yet at the scale to offer a formal SLA). We rely on third-party services (Stripe, Google Cloud, OpenAI, Serper, Netlify, Resend) and outages in those services may affect availability. We will make reasonable efforts to keep the Service running and to communicate during extended outages.
9. Liability and warranties
To the maximum extent permitted by law:
- The Service is provided "as is". We do not warrant that it will be uninterrupted, error-free, or that the Reports will produce any specific outcome.
- Our total aggregate liability to you under or in connection with these Terms is limited to the total fees you have paid us in the 12 months preceding the event giving rise to the claim.
- We are not liable for indirect, special, incidental, or consequential loss including loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of data.
- Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under English law.
If you are a consumer, your statutory rights under UK consumer law are not affected.
10. Suspension and termination
We may suspend or terminate your account if you materially breach these Terms, if your payment fails repeatedly, or if continued service would expose us to legal risk. We will give you notice and a reasonable opportunity to fix the issue where doing so would not increase the risk. On termination for material breach by you, no refund is given for the remainder of the paid month.
You may close your account at any time by cancelling your subscription and emailing support@toplevelapp.com to request full deletion of your data (subject to the retention obligations described in the Privacy Policy).
11. Changes to the service or these terms
We may change the Service, our pricing, or these Terms from time to time. Material changes will be notified by email and take effect on the renewal date that follows the notice. Continuing to use the Service after a change constitutes acceptance. If you do not accept a change, your remedy is to cancel before the next renewal.
12. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising under or in connection with them, except that if you are a consumer resident in another part of the UK, you may also bring proceedings in your local courts.
