Affiliate Terms

1. Parties and definitions

These Affiliate Terms ("Terms") form a binding agreement between Future Build Cov Ltd ("we", "us"), operator of the Top Level App service, and you ("Affiliate", "you"), an approved participant in the Top Level App affiliate program ("Program").

"Referred Subscriber" means a person or business that subscribes to a paid Top Level App plan after clicking your Affiliate Link within the 90-day cookie window. "Affiliate Link" means a URL containing your unique referral identifier (e.g. https://toplevelapp.com/?ref=your-slug). "Commission" means your share of a Referred Subscriber's monthly subscription payment.

2. Eligibility and application

To join the Program you must:

• Be at least 18 years of age.
• Have a legitimate audience, business, or personal network you intend to refer through — there is no minimum follower count, but pure incentivised-traffic and bot-driven sources are not accepted.
• Submit a complete application via /affiliates and be approved by us.
• If you are a UK tax resident, you are responsible for declaring your Commission income to HMRC. We do not deduct tax at source.

We review applications within 48 hours. We reserve the right to refuse an application at our discretion. Decisions are not appealable, but you are welcome to apply again after 90 days with updated audience information.

3. Commission structure

For each Referred Subscriber, you earn the following Commission on every successful monthly subscription payment they make to us:

Commission is calculated server-side at the time of each successful invoice payment by our payment processor (Stripe). Plan upgrades automatically scale your Commission upward; downgrades scale it downward. If a Referred Subscriber cancels and later resubscribes, they remain attributed to you, and the appropriate Commission rate applies based on the original subscription start date.

Worked example: a Referred Subscriber on the Growth plan pays £199 / month. Your Commission for months 1–12 is £99.50 / month (50% of £199, ignoring VAT for illustration). From month 13 onwards your Commission is £49.75 / month.

4. Cookie window and attribution

When someone clicks your Affiliate Link, we set a cookie named tla_ref on the .toplevelapp.com domain with a 90-day expiry. If that person subscribes within 90 days of the click (and the cookie has not been cleared), they are attributed to you for the lifetime of their subscription.

Attribution rules:

• Last-click attribution — if a person clicks multiple Affiliate Links before subscribing, the most recent one within the 90-day window wins.
• If the person clears their cookies between clicking and subscribing, attribution is lost. We cannot manually attribute commissions in these cases.
• Attribution survives plan changes and cancellation/resubscription by the same email address.

5. Payouts

5.1 Schedule

We pay Commission monthly on the 15th of each calendar month, for Commission accrued and not reversed during the previous calendar month.

5.2 Minimum payout

The minimum payout is £25. Balances below this roll forward to the next month until the threshold is met.

5.3 Payment method

You can choose PayPal or UK bank transfer (BACS). For affiliates outside the UK, we use Wise to send the equivalent local-currency amount. Currency conversion fees are deducted from the payout where applicable.

5.4 Invoicing

For affiliates who are VAT-registered businesses or operate through a limited company, please send us an invoice on or before the 10th of the month. For affiliates operating as individuals or sole traders we will issue you a remittance advice — no invoice required from you.

5.5 Inactivity

If your account has had no qualifying activity (no clicks, no active referred subscribers) for 12 consecutive months, we may close your account and deduct any pending Commission balance below the minimum threshold. We will email you 30 days before doing so.

6. Permitted and prohibited promotion

6.1 Permitted

You may promote your Affiliate Link through:

• Your own website, blog, newsletter, podcast, YouTube channel, or other owned media.
• Your social media accounts (X, LinkedIn, Instagram, TikTok, Facebook, Reddit, etc.) provided you comply with the platform's own rules.
• Paid advertising on platforms that allow affiliate links (e.g. Meta Ads, LinkedIn Ads, X Ads, YouTube Ads, Reddit Ads).
• Direct outreach to your professional network, including email, where the recipients have consented to hear from you.
• Inclusion of your link in client onboarding materials, course curricula, or coaching frameworks.

6.2 Prohibited

You must not:

• Bid on our brand keywords on Google Ads, Microsoft Ads, Bing, or any other search engine. This includes "top level app", "toplevelapp", "toplevelapp.com", and any close variants or misspellings. Breach results in immediate termination and forfeiture of all pending Commission.
• Self-refer — you may not click your own Affiliate Link and subscribe to claim Commission, nor refer your own business if you control it. Where one person operates multiple businesses, the test is whether the subscribing entity is genuinely a separate decision-maker. If unsure, ask us first.
• Use cookie-stuffing, click-injection, iframe-loading, or any other technique that places the tla_ref cookie without an intentional click by the user.
• Spam — no unsolicited email, no comment spam, no inflated-engagement schemes, no purchased traffic from low-quality sources.
• Misrepresent the product — do not make claims about Top Level App that we have not made ourselves (e.g. specific ranking guarantees, false testimonials, fake before/after results).
• Run promotions that infringe third-party rights or violate laws in your jurisdiction or in the UK — including ASA, CAP, FTC, or other advertising regulator rules. Where required, clearly disclose that your link is an affiliate link.
• Create a website, account, or social media presence designed to be mistaken for Top Level App or any official Top Level App channel.

7. Refunds, chargebacks, and clawback

If a Referred Subscriber's monthly payment is refunded (in full or in part), or if they successfully raise a chargeback through their bank, the corresponding Commission is reversed. Where the reversal happens after we have already paid you, the amount is deducted from your next payout. If your payout balance is insufficient, we may invoice you for the difference.

For fraudulent sign-ups (e.g. stolen card, fake email, bot signup) all Commission attributable to that subscriber is reversed in full.

8. Data protection

By joining the Program you consent to us processing your name, email, payout details, and Commission records for the purpose of running the Program. We treat this data in accordance with our Privacy Policy. We do not share affiliate data with other affiliates or third parties except where required to make a payout (e.g. PayPal, BACS, Wise).

9. Tax

You are solely responsible for declaring Commission income and paying any tax owed on it under the laws of the country where you are tax resident. We make no withholding deductions. For UK affiliates, Commission counts as self-employed or company income depending on how you are structured.

10. Changes to the program

We may amend these Terms or the structure of the Program (including Commission rates, cookie windows, payout thresholds, and approval criteria) with 30 days' notice by email. Changes apply prospectively only — existing Referred Subscribers continue to earn at the rate that applied when they subscribed.

11. Suspension and termination

We may suspend or terminate your participation in the Program if you breach these Terms, engage in fraudulent activity, damage our reputation, or if we choose to wind down the Program entirely. We will give 30 days' notice except where breach is sufficiently serious that immediate termination is warranted (e.g. brand-keyword bidding, self-referral, sign-up fraud).

On termination by you or by us, Commission already accrued and not reversed remains payable subject to the £25 minimum payout threshold. Commission earned on Referred Subscribers continues to accrue only if termination is by mutual agreement and explicitly preserves your existing referrals — otherwise it ceases on the termination date.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising under or in connection with them.
